Special Members’ Meeting

MassCann’s annual elections were held on Sunday, January 27th, 2019. During the course of our elections, a number of issues occurred:

  • The member’s notice that went out had incorrect information in it stating, “Any current member can run for any of these positions so long as another current member is willing to nominate them”. This is not in accordance with our current bylaws and criterion for running as a director are required.  
  • The eligibility of attendees present at the meeting were not verified as members. Only members are permitted to vote.
  •  Members nominated and subsequently elected to the board were not checked for eligibility requirements, as outlined in our organization’s bylaws.
  •  “Proxy votes”, or votes submitted by members not present at the election, were submitted and counted as legitimate votes. The proxy votes were not notarized, and membership status indicating eligibility to vote was not checked. According to Robert’s Rules, proxy votes are generally disallowed unless the bylaws specifically state otherwise. Proxy votes are not explicitly allowed in our bylaws, so they should have not been counted. Absentee voting is discouraged in a similar manner.
  •  According to Robert’s Rules, when ballots cast by ineligible voters end up influencing the outcome of an election, all ballots are to be tossed and the vote held again.  
  •  These issues were brought up during the annual meeting, but not in a manner appropriate to address the issues. For example, many members expressed disapproval in allowing proxy votes, along with the lack of checking membership status, but no member or director made a motion to resolve these issues.
  •  Since our elections, some members have complained about impropriety with the process, nominations, and voting of our leadership for 2019.

We call this special meeting to conduct our board elections according to our bylaws as a legal entity, 501C4 non-profit in the state of Massachusetts. During this meeting, a Point of order will be called due to the lack of checking membership status, the admittance of proxy votes, and indicators that non-member votes were counted.

As a result of this Point of Order, our elections should be considered invalid because they are in conflict with our bylaws.

We will be checking membership at the door. If you are a member that signed up before August of 2018 please bring documentation as we have a gap between our new PayPal account and the account formerly held that was deleted.

The location is set for the Natick VFW (113 W Central St, Natick, MA 01760) at 1:00 PM on Sunday February 24th.

Members will also consider bylaw changes specifically pertaining to elections. The following are variations of proposed Bylaws Changes:

1.)    Proxy Voting

Proxy Voting is not permitted.

or

Proxy Voting is not permitted.

This rule may be suspended at meetings of the members with a 2/3 majority affirmative vote

or

Proxy Voting is not permitted but all forms must be notarized and contain the following information:

First and Last name of voting member,

Date of Meeting,

First and Last name of agent acting on behalf of voting member.

or

Proxy Voting is permitted but all proxies must be notarized and contain the following information:

First and Last name of voting member,

Date of Meeting,

First and Last name of agent acting on behalf of voting member.

This rule may be suspended at meetings of the members with a 2/3 majority affirmative vote

2.) Nomination criterion

Exceptions to this rule will be made for nominees who meet one of the following conditions:

  1.     They were a Founder of Mass Cann.
  2.     They were a Former Officer/Director of Mass Cann.
  3.     2/3 majority vote by members (proxy and/or absentee votes not applicable)
  4.     Or, in Lieu of a Member Meeting: Verifiable Work was performed for Mass Cann.

3.) Voting rights prior to elections

Members that sign up in the (7) days prior to an election shall not have voting rights
